Synopsis "Corporate Governance and Firm Performance of Banks in Nigeria: Pre and Post Corporate Governance Code of 2018.DE"

This study evaluates corporate governance and Nigerian listed banks' considering their performance during pre- and post-2018 Code using Tobin's Q. It tests board size, independence, gender diversity, meeting frequency, and audit committee size and firm size as moderating variable. Panel data was used from 2013-2022 covered 15 of 21 NGX-listed banks that adopted the 2018 Code. Analysis used descriptive statistics, correlation, Breusch-Pagan-Godfrey, RESET, and panel regression. Findings revealed that board size and audit committee size positively impacted Tobin's Q in both periods. Board independence was insignificant pre-2018 but significant post-2018. Gender diversity was significant during pre-2018 but not post-2018. Meeting frequency gained significance post-2018. The study therefore recommended that diverse experts inclusion on boards; ensure independent directors integrity; mandate more than 30% women on boards; and hold 6 meetings yearly. The 2018 Code shifted Nigeria from a shareholder-focused model toward a hybrid approach, stakeholder communication and strengthening risk management.
